What it is?

External debt financing used to fund the acquisitions, recapitalizations, dividends payment, etc.
Acquisition Finance is used when corporate firm purchase another corporate firms and the acquisition is funded via external debt. Debt is repaid jointly by both companies.
Leveraged finance is used when Sponsor (Acquisition) establishes the new company – Special Purpose Vehicle (SPV), Sponsor (usually private equity fund) contributes the equity into SPV. SPV purchases the Target Company. The acquisition is funded jointly via the equity of the Sponsor and the bank debt called “LBO financing”.
