Payment of Consideration

Intended for all clients dashed legal entities and natural persons - who are main shareholders of joint-stock companies and meet the requirements for applying the right to purchase subscribers securities pursuant to act no. 513/1991 Coll., the commercial code (so-called squeeze-out shareholders). In accordance with the law, the bank will ensure mass payment of consideration to minority shareholders for the main shareholder.

 


Benefits

The product is a comprehensive service for clients - main shareholders of joint-stock companies and relevant joint-stock companies.


Other merits include:

  • money that must by law be deposited in the bank (prior to the date of the assembly of the general meeting), may further appreciate until payment begins,
  • selection of method of payment depending on the structure of the shareholders,
  • minimising multiple expenses for repeated payment of non-paid and returned consideration when appropriately selecting a combination of means of payment of consideration,
  • continuous information on the status of the payments made,
  • option of selecting any links of payment period.

Legal framework:

  • The provisions of §183i of the Commercial Code and following define the regulations for the transfer of subscribers securities of minority shareholders to the main shareholder.
  • The right to purchase subscribers securities may only be applied by the main shareholder with a share of at least 90% of the authorised capital of the company.

Within the scope of the comprehensive services for the provision of consideration payment, the bank will:

 

  • provide consultation throughout the entire process of purchasing subscriber securities,
  • provide consultation for communicating with the SCP (in the case of registered securities),
  • collect certificated shares from minority shareholders,
  • open and manage an account with the blocked funds that the shareholder deposits in the bank prior to the assembly of the general meeting,
  • issue confirmation on the position and block of necessary finances ,
  • handle the printing of informative and accompanying letters and their distribution to shareholders. Letters contain information on the methods of payment and other facts that the company or main shareholder wants to convey to minority shareholders in this regard
  • handle mass payment of consideration,
  • repeated payment of consideration (payment insured in the case of inheritance, changes of address, etc),
  • other accompanying services.

Methods of affecting payment:

  • Czech Republic:
    • By money order or postal money order in the Czech Republic - possibility of collection at any Post Office (around 3400 payment locations),
    • Cashless transfer,
    • In cash at select CSOB branches.
  • Slovak Republic:
    • Through a contractual partner (bank) in the Slovak Republic of - payment in cash at branches of the contracting bank or via cashless transfer,
    • By money order in the Slovak Republic - possibility of collection at any post office in Slovakia,
    • Cashless transfer (payments and from the Czech Republic via CSOB).
  • Other countries:
    • Cashless transfer.
